    These Terms of Use ("Terms") form a legally binding agreement between Spore Shield LLC ("Spore Shield," "we," "us," or "our") and any individual or entity ("you," "your," or "User") who accesses or uses sporeshield.com (the "Site") or related online services. By accessing or using the Site, you accept and agree to be bound by these Terms. If you do not agree, please do not use the Site.

    Agreement to Terms

    By accessing and using this website and our services, you accept and agree to be bound by these Terms. If you do not agree to abide by these Terms, please do not use the Site.

    Use License

    Permission is granted to temporarily download one copy of the materials on Spore Shield's Site for personal, non-commercial transitory viewing only. This is the grant of a license, not a transfer of title. Under this license you may not modify or copy the materials; use them for any commercial purpose or public display; attempt to decompile or reverse engineer software on the Site; remove copyright or proprietary notations; or transfer the materials to another person or mirror them on another server.

    Informational Content; No Professional Advice

    The Knowledge Hub, glossary, FAQs, location pages, blog articles, quizzes, calculators, and all other informational content on the Site are provided for general educational purposes only. They do not constitute a mold inspection, an environmental assessment, a professional opinion regarding any specific property, or medical, legal, insurance, or real estate advice. No content on the Site creates a professional relationship between you and Spore Shield. Conditions at any specific property can only be evaluated by an on-site inspection performed under a written Inspection Agreement. Do not delay seeking professional inspection or medical care based on anything you read on the Site.

    Interactive Tools, Quizzes, and AI Features

    The Site may offer interactive tools, including the Spore Score assessment and AI-assisted features that generate responses based on information you submit. These tools produce automated, generalized output based on limited self-reported inputs. Output is not an inspection, diagnosis, test result, professional opinion, or determination regarding the safety, habitability, or condition of any property, and it is not medical advice. Automated output may be incomplete, inaccurate, or out of date. Spore Shield makes no warranty regarding any output and disclaims all liability arising from your reliance on it.

    You are responsible for the information, text, and images you submit to these tools. Do not submit sensitive personal information, protected health information, or content you do not have the right to share. By submitting content, you grant Spore Shield a non-exclusive, royalty-free license to process, store, and use that content to operate and improve the Site and its features, subject to the Privacy Policy. Spore Shield may limit, suspend, or discontinue any tool at any time without notice.

    Scheduling, Quotes, and Pricing

    Submitting a request through the Site does not create a binding appointment or a contract for services. All service requests are subject to confirmation by Spore Shield, availability, and service area. Any pricing displayed on the Site is an estimate for typical properties and is subject to change without notice. Final pricing depends on property size, access, scope, sample count, and other factors, and is confirmed in writing on the invoice accompanying the Inspection Agreement. Spore Shield reserves the right to decline any request for any lawful reason.

    Disclaimer

    The materials on Spore Shield's Site are provided "as is." Spore Shield makes no warranties, expressed or implied, and disclaims all other warranties, including implied warranties or conditions of merchantability, fitness for a particular purpose, and non-infringement.

    Limitations

    To the maximum extent permitted by law, Spore Shield and its suppliers are not liable for damages, including loss of data or profit or business interruption, arising from use of or inability to use Site materials. Because some jurisdictions do not allow limitations on implied warranties or consequential or incidental damages, these limitations may not apply to you; in those jurisdictions Spore Shield's liability is limited to the greatest extent permitted by law.

    Accuracy of Materials

    Materials on the Site could include technical, typographical, or photographic errors. Spore Shield does not warrant that materials are accurate, complete, or current and may change them at any time without notice.

    Links

    Spore Shield has not reviewed all sites linked to the Site and is not responsible for their contents. A link does not imply endorsement, and use of linked websites is at your own risk.

    User Conduct; Automated Access

    You agree not to use the Site to violate any law, interfere with or disrupt the Site or its servers, attempt unauthorized access to an account or system, transmit malicious code, harvest contact information, or submit false, fraudulent, or defamatory content.

    Except for search engine crawlers operating in accordance with the Site's robots.txt file, you may not use scrapers, bots, crawlers, data-mining tools, or other automated agents to access, copy, index, or extract Site content, or use Site content to train, fine-tune, or ground a machine-learning or generative AI system, without Spore Shield's prior written permission.

    Reviews, Testimonials, and Third-Party Listings

    Testimonials and reviews on the Site reflect individual customer experiences and are not a guarantee, warranty, or prediction of results for any other customer. Reviews on third-party platforms are governed by those platforms. Spore Shield does not compensate customers for reviews. Business listings and profiles maintained on third-party directories are provided by those directories, and Spore Shield is not responsible for their accuracy.

    Indemnification

    You agree to indemnify, defend, and hold harmless Spore Shield LLC, its members, officers, employees, agents, and contractors from and against any claim, demand, loss, damage, cost, or expense, including reasonable attorneys' fees, arising out of or related to your use of the Site, your submission of content, your violation of these Terms, or your violation of any right of a third party.

    Modifications

    Spore Shield may revise these Terms at any time. By continuing to use the Site, you agree to be bound by the then-current version of these Terms.

    Service Engagements

    These Terms govern use of the Site only. Mold inspection, testing, sampling, reporting, protocol writing, and other professional services provided by Spore Shield are governed by a separate written Inspection Agreement and any associated proposal, invoice, or scope of work, which controls over these Terms with respect to those services.

    Privacy

    Your use of the Site is also subject to our Privacy Policy, which is incorporated into these Terms by reference.

    Messaging Terms and Conditions

    By providing your phone number to Spore Shield through the Site, intake forms, or scheduling tools, you agree to receive informational SMS messages, such as appointment reminders, scheduling confirmations, results notifications, and account updates. Consent to receive SMS messages is not a condition of purchase of any goods or services. Message frequency varies. Message and data rates may apply.

    For help, reply HELP or email info@sporeshield.com. You can opt out at any time by replying STOP.

    No mobile information will be shared with any third parties or affiliates for marketing or promotional purposes. All other categories exclude text messaging originator opt-in data and consent; this information will not be shared with or obtained by any third parties.

    Opt-Out Instructions

    You can cancel SMS messages at any time by texting STOP. After sending STOP, you will receive a confirmation message and will no longer receive SMS messages from us. If you wish to rejoin, sign up again as you did initially.

    Age Restriction (18+)

    The SMS messaging program is intended only for individuals who are 18 years of age or older. By opting in, you confirm that you meet this requirement. We do not knowingly collect or send messages to individuals under 18. If you are under 18, do not subscribe or provide your contact information. Parental consent is not accepted for this service.

    Intellectual Property

    All content on the Site—including logos, branding, text, graphics, photos, reports, sample documents, and the Spore Shield Certified™ mark—is the property of Spore Shield LLC or its licensors and is protected by U.S. and international copyright and trademark laws. You may not reproduce, distribute, or create derivative works without prior written permission.

    Copyright Complaints

    If you believe content on the Site infringes your copyright, send a written notice to info@sporeshield.com identifying the copyrighted work, the allegedly infringing material and its location, your contact information, a good-faith statement that the use is not authorized, and a statement under penalty of perjury that the information is accurate and that you are authorized to act for the owner. Spore Shield will respond in accordance with applicable law.

    Accessibility

    Spore Shield is working to keep the Site accessible to users of all abilities. If you encounter a barrier to accessing content or a function, contact info@sporeshield.com and we will work with you to provide the information or service through an alternative method.

    Dispute Resolution and Limitation Period

    Any claim arising out of or related to your use of the Site must be commenced within one (1) year after the claim arose or it is permanently barred, to the fullest extent permitted by law. You and Spore Shield each waive any right to trial by jury and any right to participate in a class, collective, or representative action with respect to such a claim.

    Severability

    If any provision of these Terms is found unenforceable, the remaining provisions remain valid and enforceable.

    Entire Agreement

    These Terms, together with the Privacy Policy and any applicable Inspection Agreement, represent the complete agreement between you and Spore Shield with respect to your use of the Site. Any changes must be made in writing.

    Governing Law

    These Terms are governed by and construed in accordance with the laws of the State of Michigan, and you irrevocably submit to the exclusive jurisdiction of the courts located in that state.

    Inspection

    Terms and Conditions of Service

    Version 2.0 · Effective September 11, 2026

    The version below is provided for reference. The executed agreement delivered with your invoice controls.

    This Agreement is entered into between Spore Shield LLC, a Michigan limited liability company ("Spore Shield"), and the client ("Client"), effective upon Client's acceptance at booking.

    Scope of Services

    Spore Shield agrees to perform the mold testing and indoor air quality assessment services identified on the invoice or booking confirmation (the "Services") at the property identified therein (the "Property") on the mutually agreed upon date of service. Services are limited to non-invasive visual observation, instrument-based environmental readings, and, where applicable, laboratory sample collection. No destructive or invasive testing will be performed absent separate written authorization by Client.

    Independent Third-Party Capacity

    Spore Shield operates exclusively as an independent third-party testing provider. Spore Shield does not perform mold remediation, water damage restoration, or any related repair services. Spore Shield receives no compensation contingent on the performance or scope of any corrective work. Any remediation contractor engaged by Client is selected by Client independently.

    Client Authority and Right of Entry

    Client represents and warrants that Client is the owner of the Property, or is a tenant, agent, property manager, or other representative with lawful authority to authorize the Services and to permit Spore Shield's entry onto the Property. Where Client is not the owner of record, Client is solely responsible for providing any notice to, and obtaining any consent from, the owner, landlord, association, or any other party required by lease, bylaw, ordinance, or statute. Client shall indemnify and hold Spore Shield harmless from any claim arising from Client's lack of authority or from Client's failure to provide required notice or obtain required consent.

    Client Obligations; Access

    Client shall provide Spore Shield reasonable and safe access to all interior and exterior areas of the Property reasonably necessary for the Services, including crawlspaces, attics, mechanical rooms, and enclosed cavities where non-invasive access is possible. Areas that are inaccessible, obstructed, occupied, or unsafe will be documented as not inspected, with no reduction in fee. Client shall disclose any known hazardous condition at the Property prior to the date of service.

    No Habitability, Occupancy, or Code Determination

    The Services do not constitute, and the Report shall not be construed as, a determination of habitability, tenantability, code compliance, or fitness for occupancy under MCL 554.139 or any other statute, ordinance, lease provision, or regulation. Spore Shield does not advise whether a property should be vacated, whether rent should be withheld or abated, whether a lease has been breached, or whether any party bears legal responsibility for any condition observed. Any such decision is made solely by Client, who should consult a licensed attorney.

    No Medical or Health Determination

    Spore Shield does not diagnose, treat, or assess medical or health conditions and makes no representation regarding the health effects of any condition observed or organism identified. Any question regarding health should be directed to a licensed physician.

    Report Content and Limitations

    The Report sets out observed conditions, instrument readings, and laboratory data as of the date and time of inspection. The Report does not assign fault or legal responsibility and does not characterize the conduct of any party. Spore Shield makes no representation or warranty regarding areas not inspected, concealed conditions, or future development. Mold populations are dynamic and conditions may change following inspection.

    Laboratory Analysis

    Where the scope includes laboratory analysis, samples are submitted to a certified third-party AIHA or NVLAP accredited laboratory with standard turnaround of seventy-two (72) hours. Spore Shield serves solely as the collecting agent and is not liable for laboratory error, delay, or chain-of-custody issues arising after shipment and outside Spore Shield's direct control.

    On-Site Additional Sampling

    Where conditions warrant laboratory sampling beyond the booked scope, Spore Shield will present the recommended sample count and per-sample fee to Client on site. No additional sample will be collected and no additional charge will be incurred without Client's affirmative authorization at the time of service. Client may decline additional sampling in whole or in part.

    Report Delivery and Use

    The final written report (the "Report") is delivered by electronic means to the email address on file within forty-eight (48) hours of receipt of laboratory results. The Report is prepared for the exclusive use of Client and may not be altered, excerpted, or republished, in whole or in part, without the prior written consent of Spore Shield.

    No Third-Party Reliance

    No landlord, tenant, purchaser, seller, insurer, lender, contractor, governmental body, or other third party is an intended or incidental beneficiary of this Agreement, and no such party is entitled to rely on the Report. Client shall not deliver the Report to a third party for the purpose of reliance without Spore Shield's prior written consent, which may be conditioned on that party's execution of a reliance letter and payment of a reliance fee at Spore Shield's then-current rate.

    Limitation of Liability

    TO THE MAXIMUM EXTENT PERMITTED BY LAW, SPORE SHIELD'S AGGREGATE LIABILITY UNDER THIS AGREEMENT, WHETHER IN CONTRACT, TORT, OR ANY OTHER THEORY, SHALL BE LIMITED TO THE AMOUNT OF FEES ACTUALLY PAID BY CLIENT FOR THE SERVICES RENDERED. IN NO EVENT SHALL SPORE SHIELD BE LIABLE FOR CONSEQUENTIAL, INCIDENTAL, SPECIAL, PUNITIVE, OR INDIRECT DAMAGES, INCLUDING LOST PROFITS, LOST RENT, PROPERTY DEVALUATION, RELOCATION COSTS, OR COSTS OF REMEDIATION.

    Payment; Rescheduling and Cancellation

    Client shall pay the service fee at the time of booking. Client may reschedule at no charge with at least twenty-four (24) hours' notice. Cancellations made less than twenty-four (24) hours before the scheduled appointment, and appointments at which Spore Shield is denied access or the Client fails to appear, are non-refundable, as compensation for reserved scheduling, laboratory reservation, and administrative costs incurred. If Spore Shield cancels, is unable to perform, or cannot complete the Services for reasons within its control, Client receives a full refund of amounts paid.

    Indemnification

    Client agrees to indemnify, defend, and hold harmless Spore Shield, its officers, members, employees, agents, and contractors from and against any claim, damage, loss, or expense, including reasonable attorneys' fees, arising from (a) Client's use of the Report; (b) misrepresentation of the Report to any third party; (c) any action or omission by Client or any third party based on the Report's findings; or (d) any dispute between Client and a landlord, tenant, purchaser, seller, insurer, association, or contractor in which Spore Shield is named or otherwise drawn in. This provision does not apply to the extent a claim arises from Spore Shield's own gross negligence or willful misconduct.

    Litigation Support and Non-Party Costs

    Spore Shield is retained as an environmental testing provider only and is not retained as a litigation consultant or testifying expert. If Spore Shield is subpoenaed, deposed, or otherwise compelled to produce records or provide testimony in any proceeding arising from or relating to the Services, and Spore Shield is not a named party to that proceeding, Client shall compensate Spore Shield at its then-current rates for records production, file review, preparation, travel, deposition, and testimony, together with reasonable attorneys' fees, regardless of which party issued the subpoena. Current rates are five hundred dollars ($500) per hour with a four-hour minimum, and a two thousand dollar ($2,000) retainer payable in advance.

    Limitation of Actions

    Any claim or action arising from or relating to this Agreement or the Services must be commenced within one (1) year after the date the Report is delivered, or it is permanently barred.

    Dispute Resolution

    Any dispute arising from or relating to this Agreement or the Services shall be resolved by binding individual arbitration administered in Oakland County, Michigan, under the Commercial Arbitration Rules of the American Arbitration Association. Each party waives any right to a jury trial and any right to bring or participate in a class, collective, or representative action. Either party may bring an individual claim in small claims court if the claim qualifies. Judgment on the award may be entered in any court of competent jurisdiction.

    Governing Law; Venue

    This Agreement is governed by and construed in accordance with the laws of the State of Michigan, without regard to its conflict-of-laws principles. Subject to Clause 17, any proceeding shall be brought exclusively in the state or federal courts located in Oakland County, Michigan, and the parties consent to personal jurisdiction therein.

    Entire Agreement

    This Agreement, together with the associated booking confirmation or invoice, constitutes the entire agreement between the parties with respect to the Services and supersedes all prior understandings, whether written or oral. No modification is binding unless made in writing. If any provision is held unenforceable, the remainder continues in full force and effect. Client's acceptance of this Agreement at the time of booking constitutes execution for all purposes, and an electronic acceptance record has the same force and effect as a handwritten signature.
